Item 8.01 Other Events.

 

On July 3, 2019, Charles & Colvard, Ltd. (the “Company”) issued a press release announcing that it had issued 630,500 shares of common stock, no par value per share, pursuant to the partial exercise of the underwriters’ over-allotment option received in connection with the Company’s recently completed public offering of its common stock.

UNDERWRITERS’ EXERCISE OF OVER-ALLOTMENT OPTION

 

RESEARCH TRIANGLE PARK, N.C. – July 3, 2019 — Charles & Colvard, Ltd. (Nasdaq: CTHR) announced today that it has issued an additional 630,500 shares of its common stock pursuant to the partial exercise of the underwriters’ over-allotment option received in connection with Charles & Colvard’s recently completed public offering of its common stock.

 

After giving effect to the partial exercise of the over-allotment option, Charles & Colvard sold an aggregate of 6,880,500 shares of its common stock at a price of $1.60 per share with total gross proceeds of approximately $11.0 million, before deducting the underwriting discount and fees and expenses.

 

Roth Capital Partners was the sole manager for the offering.

 

The Company intends to use the net proceeds from the offering for marketing and for general corporate and working capital purposes.

 

The offering was made pursuant to an effective shelf registration statement on Form S-3 (File No. 333-225042) that was previously filed with the Securities and Exchange Commission (SEC) on May 18, 2018.
